A oli välikirjalla luovuttanut liikkeensä yhtiölle ehdolla, että yhtiön tuli vastata A:n velasta B:lle. B:n katsottiin välittömästi tämän sopimuksen nojalla saaneen oikeuden velkoa saatavaansa yhtiöltä.
